What Is a WLL Company in Bahrain?

WLL (With Limited Liability) is Bahrain’s most popular business structure for foreign entrepreneurs. A WLL company in Bahrain offers liability protection, simplified tax administration, and straightforward corporate governance. The WLL company format has been available with 100% foreign ownership since 2021, making it the ideal choice for startups and established businesses entering the Bahrain market.

Unlike traditional partnerships, a WLL company limits owner liability to invested capital while maintaining operational flexibility.

100% Foreign Ownership & Flexibility

Since regulatory reforms in 2021, you can establish a WLL company in Bahrain with complete foreign ownership — no local sponsor or Bahraini partner required. This makes WLL company registration significantly easier than onshore alternatives.

WLL Company Structure Options:

  • Single-Member LLC: One foreign owner, full control and decision-making authority
  • Multi-Member LLC: Multiple foreign or mixed owners, flexibility in profit-sharing
  • Branch WLL: Subsidiary of a foreign parent company

WLL Company Requirements & Capital Structure

Minimum Capital

A WLL company in Bahrain requires minimum capital of BHD 50 (approximately USD 133). Capital contributions can be paid in cash or assets, with flexibility for phased contributions during the first operational year.

Required Documents for WLL Company Registration:

  • Passport copy (owner identification)
  • Business plan outline (1-2 pages)
  • Proof of capital contribution
  • Tenancy agreement (office address)
  • Board resolution (for corporate owners)
  • Police clearance certificate (some jurisdictions)

5-Step WLL Company Registration Process via Sijilat

Bahrain’s Sijilat portal (sijilat.bh) handles WLL company registration electronically, reducing processing time significantly.

Step 1: Business Name Reservation (1-2 days)

Reserve your WLL company name on Sijilat. Names must be unique and avoid restricted words. Search the database for available names.

Step 2: Document Preparation & Submission (2-3 days)

Prepare articles of association, board resolutions, and owner identification documents. Upload all files to your Sijilat account.

Step 3: Approval & Issuance of CR (5-7 days)

The Ministry of Industry, Commerce & Tourism reviews your WLL company application. Upon approval, your Commercial Registration (CR) certificate is issued digitally.

Step 4: Bank Account Opening (3-5 days)

Present your CR certificate to a Bahraini bank to open a business account. Most banks accept online WLL company applications.

Step 5: Tax Registration & Compliance (1-3 days)

Register with the National Bureau of Revenue for VAT (if turnover exceeds BHD 37,500) and obtain your tax identification number.

Why we recommend Premium

MOICT, LMRA, NPRA and other ministries periodically inspect company addresses. A 12-month private cabin with an officer desk and two guest chairs gives inspectors a real working office to visit — no LMRA flag, no compliance gap. The right choice for regulated activities, employer companies, and any founder planning to operate long-term in Bahrain.

Standard or Gold for short cycles

Both fit founders who plan to find their own office later, renew the virtual address afterwards, or run a short project in Bahrain and liquidate the company when it ends. Lower upfront cost — just be ready to upgrade your address before a ministry inspection arrives.
